THE NAME OF LEGAL ENTITY

Under article 23 of the Law of Ukraine “On state registration of legal entities and individuals – entrepreneurs” a legal entity shall have its name, containing information on organizational-legal form (except public and local authorities, Autonomous Republic of Crimea authorities, public, municipal organizations, establishments and institutions) and denomination.

Under the Law hereunder the Founder (founders) of the legal entity shall have the right to reserve the name of the legal entity for two months, and for open joint-stock companies – for nine months. In this case a special note shall be entered in the unique state register, the name hereafter shall be considered as secured for the enterprise to be established.
In the application of the name reservation the Founder of the legal entity must indicate full name of the legal entity, intended for registration.
In addition the Founder must provide the registrar with the following documents for the name reservation:
- a due form application on reservation of the legal entity name;
- a document, confirming the payment for reservation entry of the legal entity name.
In addition, if the documents for reservation of the legal entity name are submitted by the Founder of the legal entity, the state registrar should be additionally provided with the passport. If the documents for reservation of the legal entity name are submitted by the authorized person, the state registrar shall be additionally provided with the passport and the document, indicating the person’s authority.
In case of the legal entity name match in the Unique state register with the one, indicated in the application the state registrar shall issue a notice of refusal of the legal entity name reservation to the Founder of the legal entity or the authorized person. The payment for the reservation of the legal entity name in this case shall not be reimbursed.
Reservation of the legal entity name shall be carried out within three working days from the date of the documents receipt for the term of two months, commencing from the date of making a special entry in the Register, whereupon Certificate from the Unique state register for the legal entities and individuals - entrepreneurs shall be issued to the applicant, indicating the name reserved up to the specified date.
The payment for the reservation of the legal entity name shall be charged at the rate of two tax-free allowances.
